Section 5. Quorum

A majority of the directors shall constitute a quorum at a meeting. If after a meeting is convened, the number of Directors present drops below the number required for a quorum, no further action may be taken except that less than a quorum of the Board may adjourn the meeting to a future date and time. If a quorum is represented at an adjourned meeting, any business may be transacted that might have been transacted at the meeting orginally scheduled. The Directors present at a meeting represented by a quorum may continue to transact business until adjournment, even if the withdrawal of some directors results in a representation of less than a quorum.
