Contract UPDATE - Material Cost Increases Related to Tariffs

To address the above question, the District will be adding the following provision by addendum into the form of Agreement to be entered into with the lowest bidding Contractor for this Project (in the event that the District elects to proceed to contracting per the bid notice):

In the event of a Significant Price Change for Materials (as defined below) occurring at any time during the performance of the Contract, the Contract Sum shall be equitably adjusted by Change Order in accordance with the procedures of the Contract Documents as well as those set forth herein (a 'Price Escalation Change Order').  As used herein, a 'Significant Price Change for Materials' means a change in price of one or more items of material to be included in the Work if (a) the price of the material increases or decreases by 5 percent (5%) or more in between the date of this Contract and the date of installation; (b) the price increase or decrease is solely the consequence of a tariff imposed or adjusted on the material; and (c) the applicable tariff is first imposed or adjusted, as applicable, after contract execution.

In order to receive a Price Escalation Change Order, the Contractor shall provide to the Owner, in writing, prior to the time of execution of this Agreement, its estimated costs for the relevant materials that it believes may be subject to potential escalation under the above provisions (the 'Contractor's Escalation List').  The Contractor's Escalation List shall be made an exhibit to this Agreement.  Prior to purchasing any of the materials listed in Contractor's Escalation List, the Contractor must provide the Owner with at least two (2) timely written proposals from suppliers as well as a reputable third-party price index to confirm the credibility of the proposals.  If the pricing escalation cannot be avoided through commercially reasonable procedures, the parties may enter into a change order in the amount of the lowest cost proposal or price index amount.  Any such change order(s) shall not include overhead or profit mark-ups on the increase(s) from either the Contractor or its Subcontractors.  Any failure to include a material in the Contractor's Escalation List shall automatically  be deemed a waiver of the right to seek a price escalation for the applicable materials without the Owner’s prior written consent (which consent may be withheld in the Owner’s sole and absolute discretion).

If prices for materials listed on Contractor' Escalation List decrease by five percent (5%) or more from what was in the Contractor’s original estimate, the Owner shall be entitled to a corresponding deduction in the Contract Sum. Contract Update Posted July 11, 2025 10:28 AM PST.

Contractor Requests for Information 

All questions regarding this project must be submitted in writing to Owner Representative- Ryan Shultz rshultz@wshcd.org and Project Engineer Darren Strong dstrong@strong-engineering.com . All RFIs must be submitted by Monday, July 14, 2025 4:00 PM PST.  Submissions after this time will not be responded to. Contractors are encouraged to submit RFIs early in order to allow timely responses from the Owner.

Responses to RFIs that result in plan clarification will be posted as an addendum on the District's webage under Construction Plan Addendums.  In order to promote transparency, fairness and consistency all submitted questions and answers will be published in the Project RFI Log and attributed to the submitting contractor.
